Terms of Service

These terms are between you (and, if you use Receivit for a business, that business — "you") and HW&H Trading Pty Ltd (ABN 46 661 739 662) ("we", "us"). By accessing or using Receivit you agree to these terms. If you do not agree, do not use the service.

1. The service

Receivit is a software service that lets receiving businesses record proof of what was delivered to them — capturing photos, condition, handover method, signatures, location and notes, and producing receipts and shareable links. We may add, change or remove features over time.

2. Accounts and access

You sign in with your email address and a one-time code. You are responsible for keeping access to that email secure and for all activity under your account and the accounts of your office users and drivers. Tell us promptly if you suspect unauthorised access.

As between you and us, you own the delivery records and content you enter. You grant us a licence to host, store, process, back up and transmit that content as needed to provide the service. We own Receivit itself — the software, design and brand — and you receive only a limited right to use it while these terms apply.

5. About the evidence

Receivit seals each record into a tamper-evident hash chain and can show whether a record has been altered since it was captured. This is strong evidence of an unbroken internal record. It is not a legal determination of any fact, is not a cryptographic notarisation, and does not independently prove the time a delivery occurred — recorded times are device and server clock times. You are responsible for how you use records produced by the service.

6. Availability

We aim to keep Receivit available and working but do not guarantee it will be uninterrupted or error-free. We may perform maintenance, and may suspend or withdraw features. The service may be provided on an early-access basis.

7. Fees and subscription

Receivit is a paid subscription. The current price is A$69 per month per business, billed in advance through our payment provider (Stripe), and continues until you cancel. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period and is not pro-rated. If a payment fails we may retry it and, if it remains unpaid, suspend access until it is resolved. We are not currently registered for GST, so no GST is added to the price; if that changes we will tell you. We will give you at least 30 days' notice before increasing the price.

8. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if you breach these terms, if required by law, or to protect the service or other users. On termination we will make your data available for a reasonable period on request, after which it may be deleted in line with our Privacy Policy.

9. Warranties and Australian Consumer Law

To the maximum extent permitted by law, the service is provided "as is" and we exclude implied warranties. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded. Where our liability for a failure to comply with a non-excludable guarantee can be limited, it is limited (at our option) to re-supplying the service or paying the cost of re-supply.

10. Limitation of liability

To the maximum extent permitted by law, and subject to clause 9, we are not liable for indirect or consequential loss, loss of profits or revenue, or loss or corruption of data, and our total liability arising out of or in connection with the service is limited to the fees you paid us for the service in the 12 months before the event giving rise to the liability.

11. Indemnity

You indemnify us against claims, loss and costs arising from your use of the service in breach of these terms or the law, including any claim that your recording or sharing of information infringed someone's rights.

12. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms.

13. Changes to these terms

We may update these terms from time to time. If a change is material we will take reasonable steps to notify you. Continuing to use Receivit after a change means you accept the updated terms.

14. Governing law

These terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that place.
